RISK AND COMPLIANCE

Basic Approach

We recognize that it is important to comply with social norms, conduct our business with integrity and fairness, and appropriately manage various risks in the course of our business activities in order to continuously enhance our corporate value. To this end, we are working to establish a robust internal compliance and risk management framework and are actively engaging in a variety of related initiatives.

Promotion Framework

We established the Risk and Compliance Committee which is chaired by the President & CEO and consists of at least three Risk and Compliance Committee members selected based on appointment by the President and CEO, and committee meetings are generally held once a quarter and on an ad hoc basis as necessary to gain a better understanding of risks and to plan, implement, and review measures against such risks, and compliance-related education and training activities.

Internal Audit Department

A body under the direct control of the President, which is independent of the divisions to be audited. It conducts professional and disciplined audits using systematic methods to assess and improve the effectiveness of governance, risk management, controls, and various processes with the aim of enhancing and improving value by providing assurance and advisory activities from an independent and objective standpoint for the overall operations of the MESCIUS Group.

Internal Whistleblowing Framework

We enforce internal whistleblowing regulations to strengthen our internal compliance framework and maintain a healthy work environment.
The regulations aim to contribute to the Company's compliance management through the early detection, correction, and resolution of legal violations, unethical behavior, regulatory violations and other compliance-related issues (including acts that could potentially lead to such violations).
